InfraRed is part of SLC Management, the institutional alternatives and traditional asset management business of Sun Life. InfraRed represents the infrastructure equity arm of SLC Management, which also incorporates BGO, a global real estate investment management adviser, and Crescent Capital, a global alternative credit investment asset manager.


Job Purpose

To support the Company Secretary and Senior Assistant Company Secretary in providing a comprehensive range of company secretarial services to the business.


The role involves working within the Governance team and key stakeholders and supporting the Chairs of the Committees and Board Members, UK and overseas boards including the Quarterly Review Committees and Investment Committees in the discharge of their duties. Ensuring that any decisions taken are always recorded and implemented appropriately with reference to the principles of good governance. In addition, identifying improvement opportunities focusing on process efficiencies, provision of accurate information / documentation and providing guidance to UK boards committees.


Key Job Responsibilities

Committee support

  • Provide board support for internal committees of InfraRed group entities, providing ‘end to end' servicing, including agenda setting, meeting pack reviews, minuting, following up on action points etc.
  • Working with deal teams to provide guidance/input as to the statutory implications of structuring decisions and drafting the associated preparatory work.
  • Planning and scheduling of board and committee meetings.
  • Providing basic company secretarial advice and arranging execution of statutory filings.


Statutory administration

  • Use of electronic records via the entities/boards portal, ensuring timely reports are generated from Diligent entities.
  • Logging conflicts on Diligent entities.
  • Preparing and filing documents with Companies House to comply with statutory requirements, including but not limited to the filing of confirmation statements, PSC registers, appointment and resignation of directors, updating share filings such as capital reductions, share transfers, dividends and understanding when to apply these within any given transaction.
  • Ensuring that the internal Company Secretary workflow portal and Diligent SFS (audit portal) is updated.
  • Manage the internal accounts tracker for the Governance team, liaising with relevant finance teams as appropriate.
  • Ensuring that all internal corporate reporting is completed in a timely manner, this may include pulling information from entity reports to assist with the quarterly reporting for both the IRCP Board and Sun Life Financial.
  • Responding to ‘Know Your Customer’ (KYC) requests and related information regarding beneficial ownership and anti-money laundering information requests.
  • Pulling entity reports to assist with the annual insurance renewal process through collation of statutory information.
  • Assist with the annual review of information relating to InfraRed entities held by third party service providers.
  • Attending to ad hoc queries that arise with the group entities relating to company secretariat issues.
  • Ad hoc tasks including updating the corporate governance tracker.


Advisory support

  • Supporting the business with the provision of practical guidance on the proper application and interpretation of corporate law in respect of its entities and statutory filings.
  • Ensuring best practice corporate governance principles are implemented in day-to-day activities consistent with InfraRed’s governance framework.
  • Providing support to other members of the team when required as workload pressures dictate.
  • Supporting the Company Secretary & DPO (CS) and Senior Assistant Company Secretary (SACS) in embedding governance framework/policies; and ad-hoc projects and general administration duties.


Skills and Qualifications

  • Graduate with a degree, (law degree or paralegal experience is an advantage)
  • Proven experience in a similar industry is beneficial
  • Enthusiastic, bright individual who is a team player and good at multi-tasking
  • Experience in delivering quality written reports and minutes with excellent attention to detail
  • Well organised and able to prioritise multiple tasks to tight deadlines
  • Excellent administration skills
  • Confident in engaging with people at all levels across the business
  • Commercially aware professional, maintaining discretion and confidentiality
  • Willingness to learn and develop new skills / flexible with a ‘can do’ approach
  • Practical experience of company filings for example, dividends, capital reduction, director appointments, etc
  • Working knowledge of entity management tools an advantage.
  • Good working knowledge of the Companies Act 2006
