Who are we looking for? 😊
We are looking for a dedicated and confident Graduate Company Secretary or Company Secretarial Assistant to join our growing team at Gamma. This role is critical in supporting the Company Secretary with a wide variety of projects, including board and committee meetings, the Annual Report and subsidiary entity management.
What will you be doing day-to-day? 📞
Board Support and Meeting Governance
- Support on organisation and preparation of agendas and papers for Board & Committee meetings
- Ensure arrangements for Board & Committee meetings are completed accurately including making bookings and sending invitations.
- Create and update various Board schedules, including:
- Board meeting dates.
- Meeting attendance.
- Conflicts of interest and external appointments.
- Training register.
- Shareholdings.
Annual Report and AGM
- Act as the main liaison with the design agency for the production of the Annual Report and Notice of Meeting.
- Oversight of the Annual Report timetable and co-ordination with key internal colleagues.
- Draft the Directors’ Report and the first draft of the Governance Report.
- Liaise with registrar to agree on the mailing matrix and supervise the mailing process.
- Management of AGM – ensure bookings made, paperwork drafted and directors arrangements for attending.
Regulatory Announcements
- Draft routine announcements for Company Secretary approval and support with ad-hoc announcements.
- Update and maintain associated schedules.
Corporate Records and Compliance
- Oversee group subsidiaries, conduct desktop reviews of statutory information and ensure all filings made on time
- Provide support for employee share plans (CSOP, SAYE and SIP) including grants, maturities and exercises.
- Maintain various schedules to support UK listed company requirements.
- Review and input onto changes in group policies.
What you’ll need 🚀
- Qualified Grad CGI or working towards this qualification
- Experience of working for a UK listed plc
- Awareness of UK Companies Act and UK Listing Rules
- Good knowledge of Word and Excel
- Knowledge of Diligent Boards desired but not required

- Strong relationship management skills alongside ability to work independently in a small team
- Attention to detail, accuracy and layout
- Communication skills with ability to liaise confidently with senior stakeholders and under pressure
A few things to note
- This is a hybrid role; we require you to be in our London office at least 2 days a week.
- We do not need agency support; we do all our recruitment in house.
