The Opportunity
“FICO Legal team has an opportunity for a lawyer who has experience with SaaS/software licensing and professional services contract experience inside a corporate legal department as well as experience relating to data protection. Working knowledge of the EU AI Act, DORA and EBA Guidelines is helpful and proficiency in German, Spanish or Swedish would also be helpful but in no way necessary. The successful candidate will form part of the EMEA Legal department reporting to the Sr Director, Head of Legal, EMEA and will work alongside two other lawyers and a Contracts Administrator. The main focus of the work will be commercial contracting for SaaS/software and working with global partners & alliances (resellers, ISV, GSI, processors etc), with additional focus on data protection, EMEA regulation, template commercial work, special projects and sales enablement.” – Hiring Manager.
What You’ll Contribute
- Draft, review, and negotiate all types of agreements (e.g., sales, service, subcontract, software, procurement, non-disclosure, hosting, SaaS, data protection etc.) for assigned client(s) both internal and external.
- Review defined contract terms (i.e. limitation of liability, intellectual property indemnity, license grants, warranty, etc.) and revise accordingly consistent with FICO policies and procedures.
- Support EMEA sales/business teams on opportunities, including support of the RFP process and those contract terms requiring approval.
- Provide contract review coordination across businesses (e.g. product, services, finance, etc.) in support of clients, as assigned;
- Provide backup support to others in department as needed.
- Support special projects as assigned by department leadership.
- Support department for contract template revisions, contract interpretation and translation, as requested.
- Consistently perform function in a professional and timely manner, demonstrating legal leadership.
- Demonstrates competent understanding of the business and FICO’s policies and procedures and local laws.
- Protects FICO from unnecessary contract liabilities, damages, penalties, etc.
- Identifies red flag risk areas and works with business team to seek appropriate approvals.
- Provides accurate guidance to assigned business contacts, to ensure contract is aligned with FICO’s corporate policies.
- Demonstrates a solid knowledge of contracting practices and skill sets.
- Maintains a strong client focus both internally and externally with superior client interaction skills.
What We’re Seeking
- Licensed to Practice law and in good standing in any jurisdiction.
- Relevant experience in SaaS/software licensing, data protection, preferably with some in house corporate legal department exposure.
- Excellent communication skills (written and verbal) in English. Fluency in the alternative language a plus but not essential.
- Knowledge of terminology commonly used in contract and SaaS/software licensing.
- Ability to work in a fast-paced, collegial and supportive team environment.
- The successful candidate will be a self-motivated individual with a strong work ethic, sense of humor, and superior prioritisation and organisational skills.
- Ability to travel is a plus but not essential.
- Strong analytical and contract formation, preparation, drafting, review, management and negotiation skills. A confident team player with an ability to listen.
- Ability to identify key risk and policy issues in any transactional situation/opportunity.
- Strong risk-management and problem solving/solution-oriented skills.
- Basic understanding of United States or English software intellectual property law and practices.
- Excellent communication, presentation and interpersonal skills.
- One day per week in the office would be preferred.
- Proficient in Microsoft Office products.
