Senior Legal Counsel

OneAdvanced, a fast-growing, PE-backed SaaS company, is seeking a highly skilled and dynamic Senior Legal Counsel to join our forward-thinking Commercial Legal Team.

This is a unique opportunity for an experienced legal professional with a software/SaaS background to take on a strategic leadership role within a high-growth, global environment.

Based in Birmingham, one of the UK’s most exciting tech hubs, this role offers a chance to shape and execute our legal strategy while driving the company’s growth across multiple regions, including the UK, Ireland, Australia, New Zealand, Canada, and the USA.

As a Senior Legal Counsel, you will join the commercial legal leadership team and work closely with the Head of Legal and newly appointed General Counsel, to drive transformative change at OneAdvanced. You will oversee complex, high-value negotiations, lead a team of legal professionals, and ensure the company’s legal operations support its ambitious business objectives.

Key Responsibilities:

· Global Legal Leadership: Take the lead on complex commercial negotiations with both public and private sector clients, ensuring robust governance, compliance, and risk mitigation across diverse jurisdictions.

· High-Value Deal Negotiation & Execution: Work closely with our Go-to-Market Teams to negotiate and close high-stakes agreements with customers and partners, managing multiple projects under tight deadlines.

· Contractual Expertise: Oversee the drafting, negotiation, and management of a wide range of commercial contracts for a leading SaaS provider, including MSAs, bespoke terms, RFP terms, supplier agreements, partner agreements, licensing agreements, escrow agreements, and DPAs.

· Privacy & Data Protection Leadership: Provide expertise in GDPR and global privacy regulations, reviewing and negotiating data processing agreements and working with our Data Protection Office and Senior Privacy Counsel when required.

· Risk Management & Strategic Counsel: Offer proactive advice on contractual risks and partnering closely with the executive team to advise on potential issues requiring action.

· SaaS Expertise: Leverage significant years of experience in managing the full lifecycle of SaaS contracts, ensuring compliance while supporting the business’s growth and efficiency.

· Team Leadership & Development: Mentor and inspire a team of legal professionals, fostering collaboration and driving the continuous development of the team’s capabilities.

· Legal Operations & Tech Savvy: Collaborate with legal operations leaders to adopt innovative legal technologies, streamline processes, and improve overall departmental efficiency.

Key Requirements:

· Experienced SaaS/Software Lawyer: Significant years of experience in managing complex SaaS contracts, with a strong track record of negotiating and closing high-value deals.

· Qualified Legal Professional: UK-qualified solicitor, with a solid background in public procurement law, government framework contracts, and commercial contracts.

· Exceptional Negotiation & Communication Skills: Ability to negotiate complex agreements and engage with key stakeholders at all levels, with excellent communication and drafting skills.

· Strategic Vision: Ability to align legal strategies with broader business goals, offering innovative legal solutions that drive business growth.

· Leadership & Team Development: Proven experience leading and inspiring legal teams, fostering a collaborative environment and driving performance.

· Privacy & Data Protection Expertise: In-depth understanding of GDPR and global privacy regulations, with experience in negotiating data processing agreements.
