The Opportunity

We are looking for a Vice President specialising in Structured Finance and Directorship Services to join our London Fiduciary Team as part of our financial services business in London.


As part of the global expansion of the Maples Group’s financial services offering, our London office opened its doors in 2015. Located in Bishopsgate, a commitment to service excellence and investment in our people quickly established London as a key part on Maples’ European footprint, which also includes offices in Ireland, Luxembourg, Netherlands and Jersey.


As part of our Structured Finance and Directorship Services Team you will be performing the below key duties:


Key Duties:


The Vice President – Structured Finance and Directorship Services will be a senior position in our UK team, reporting to the Senior Vice President who heads the team in London.


The Vice President is a varied and wide-ranging role. This includes, but is not limited to, the following:


· Act as an independent director on a variety of special purpose and holding companies for UK ABS and RMBS transactions, as well as private equity holding companies.

· Manage a portfolio of client entities to ensure high levels of corporate governance and ensure that the entities are compliant with their transactional and statutory obligations. Each client entity will also have an assistant vice president and corporate administrator to assist in operational and administrative requirements

· Deliver a high level of client service and ensure that this high level of client service is followed by

the team

· Attendance of board meetings with senior executives from client firms; as well as reviewing and commenting on transaction documents and corporate requests and ensuring that all tasks required to effectively close a transaction within required timelines are completed to agreed

deadlines

· Lead the negotiation of Maples service agreements with clients, obtaining internal transaction approvals, and overseeing the onboarding of new client entities and relationships including the KYC process

· Ongoing liaison with external parties, such as lawyers, arrangers, investment managers, trustees and agency groups and external directors to achieve client objectives

· Undertake CRM and Business Development activities with law firms, arrangers, accounting firms, private equity firms, investment banks and other clients or prospective clients; as well as representing Maples at various industry events

· Monitor your portfolio and ensuring that client relationships and transactions are compliant with internal policies and procedures and that all billing and accounts receivable are kept up to date

· Participate in ad hoc projects covering for example, I.T. system developments, policy and procedure refinements, and development of new service lines

· Support the Senior Vice President in managing the affairs of the structured finance and directorship services team, including coordinating internal meetings and mentoring more junior members of the team.


The role is supported by the Head of Fiduciary Services – London, our internal legal team, our risk and compliance teams, our global marketing team and other business support functions.


Requirements


In addition to indisputably high ethical standards and autonomy, the ideal candidate possesses the following:


· At least 5 years’ experience in a similar role.

· Knowledge of UK company requirements and local governance standards. Prior experience as a director, or deep knowledge and relevant experience of board

functioning.

· Prior experience mentoring and coaching team members and proven leadership skills are required for this role.

· A banking, funds management, company secretarial, legal, finance or accounting background is preferred.

· Prior experience in the UK securitisation market is an advantage.

· Prior experience with investment funds and multi-jurisdictional company structures is also advantage
